Terms of service
Plain terms for a small service.
1. Who we are
Holdout ("we") is operated by Holdout Studio, a sole proprietorship registered in the Netherlands. Contact: [email protected].
2. The service
We generate alpha mattes from frames you upload, using automated tools. Access is by invitation and is personal to your account. You are responsible for activity under your account, including keeping your password to yourself.
3. Your material, your rights
You keep all rights in the footage you upload and in the mattes we produce from it. We claim no ownership of either. You grant us only the limited permission needed to process your frames and deliver the result back to you.
You confirm that you are entitled to upload the material you send us and that processing it does not breach anyone else's rights or any agreement you are under.
4. What we will not do with your material
- We do not use your footage or mattes to train any model.
- We do not share them with anyone beyond the infrastructure providers listed in our privacy statement, who handle them only to run the service.
- We do not view your material except where strictly necessary to investigate a fault you have reported to us.
5. Price and payment
You buy credit in advance. We charge €0.03 per delivered frame and €0.15 for each additional render node you choose. Frames that fail are not charged. Prices exclude VAT where VAT applies. We may change prices; changes apply only to jobs submitted afterwards.
Credit already spent on delivered frames is not refundable. Unused credit can be refunded on request within twelve months of purchase, less payment processing costs.
6. Automated results
Mattes are produced automatically and quality depends heavily on the footage. Results vary. We do not warrant that any matte will be fit for a particular purpose or usable without further work. Preview a shot before committing a full sequence to it.
7. Availability
We aim to keep the service running but do not guarantee uptime, turnaround time, or that any particular job will complete. GPU capacity is rented from third parties and can be unavailable. Where a job fails, you are not charged for the frames it did not deliver.
8. Limitation of liability
So far as the law allows, our total liability for any claim connected with the service is limited to the amount you paid us for the job the claim relates to, or €500, whichever is lower.
We are not liable for indirect or consequential loss, including lost profit, lost revenue, wasted time, missed deadlines, or the cost of having the work redone elsewhere.
Nothing here limits liability for intent, deliberate recklessness, or anything else that cannot be limited under Dutch law.
9. Retention and deletion
Your frames and mattes are deleted automatically 30 days after a job is submitted, so download what you need within that window. You can ask us to delete your material sooner.
10. Ending the arrangement
You may stop using the service at any time and ask for your account to be closed. We may suspend or close an account that abuses the service, fails to pay, or uploads material it has no right to upload. If we close an account without cause, we refund unused credit.
11. Law
Dutch law applies. Disputes are for the competent court in the Netherlands.
